RelayDock Terms of Use Effective Date: September 28, 2026 These Terms of Use ("Terms") govern your use of RelayDock software, related files, downloads, and related web pages (collectively, "RelayDock" or the "Product"). Warner Web Development LLC ("Company," "we," "our," or "us") provides RelayDock. By downloading, installing, accessing, or using RelayDock, you agree to these Terms. 1) Eligibility and Acceptance You represent that you are legally able to enter into these Terms and will use RelayDock in compliance with applicable laws. If you do not agree, do not use RelayDock. 2) License Subject to these Terms and any paid license limits, we grant you a limited, non-exclusive, non-transferable, revocable license to use RelayDock for your personal or internal business music-production use. You may not sublicense, resell, lease, or distribute RelayDock except as expressly allowed by us in writing. If a license key is issued, it is issued to the purchaser and may not be shared, transferred, or resold except as expressly permitted by us in writing. 3) Trial and Paid Access Any trial limitations (including feature caps) may change at any time. Paid features are enabled only after valid purchase processing by our payment provider. 3.1) Refund Policy All sales are final unless otherwise required by applicable law. Any refund, credit, or pricing adjustment is offered solely at our discretion. Nothing in this section limits non-waivable consumer rights that apply under mandatory law. 4) Your Responsibilities You are responsible for: - maintaining compatible hardware, software, Ableton Push, and Cubase configuration; - installing and managing required drivers and operating-system settings (such as loopMIDI and WinUSB on Windows); - backing up your projects and system data before use. 5) Prohibited Conduct You may not: - reverse engineer, decompile, disassemble, or attempt to derive source code except where prohibited by law; - remove proprietary notices; - use RelayDock in a way that violates law or third-party rights; - interfere with or attempt to circumvent licensing or technical controls. 6) Third-Party Platforms RelayDock depends on third-party hardware, software, and platforms (including Ableton Push, Steinberg Cubase and its MIDI Remote API, macOS, Windows, loopMIDI, and payment processors). RelayDock is unofficial and is not affiliated with, endorsed by, or supported by Ableton AG or Steinberg Media Technologies GmbH. "Ableton" and "Push" are trademarks of Ableton AG. "Cubase" and "Steinberg" are trademarks of Steinberg Media Technologies GmbH. We are not responsible for third-party products, changes, outages, compatibility decisions, or policy updates. 7) Disclaimer of Warranties TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELAYDOCK IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. RelayDock is early-release software. Features, including Windows support, may be incomplete, may change, or may be removed. We do not warrant uninterrupted operation, error-free performance, or compatibility with all systems, hardware, hosts, or future updates. 8) Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY OR ITS AFFILIATES, CONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO RELAYDOCK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO RELAYDOCK WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR RELAYDOCK IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $50. 9) Indemnification You agree to defend, indemnify, and hold harmless the Company from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use or misuse of RelayDock, your violation of these Terms, or your violation of law or third-party rights. 10) Termination We may suspend or terminate your license if you violate these Terms. Upon termination, you must stop using RelayDock and delete all copies in your possession or control, except where law requires otherwise. 11) Governing Law and Venue To the maximum extent permitted by law, these Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in New Jersey, USA, unless mandatory law requires otherwise. 11.1) Export Compliance You may not use, export, re-export, or transfer RelayDock except as authorized by applicable export control and sanctions laws. 12) Changes to Terms We may modify these Terms by publishing an updated version with a new effective date.
